Terms of Service

1. Acceptance of Terms

By creating an account, subscribing to, or using Agella ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not access the service.

2. Service Description

Agella is an AI-powered content creation studio designed for LinkedIn professionals. The Service provides digital tools, including AI strategy generation, text drafting, and image creation. All features are delivered digitally via a web-based dashboard.

3. Fulfillment Policy (Immediate Access & Delivery)

Agella is a fully digital Software-as-a-Service (SaaS) product.

  • Immediate Delivery: Upon successful payment and registration, your account is instantly activated, and digital credits are allocated to your profile.
  • Proof of Delivery: Access to the Agella dashboard and the ability to generate content constitutes the full delivery of the purchased service.
  • No Physical Goods: No physical items will be shipped or mailed.

4. Subscriptions & Billing

  • Recurring Billing: Subscriptions are billed on a recurring basis (monthly or annually) as selected at checkout. By subscribing, you authorize Agella to charge your payment method automatically at the start of each billing cycle.
  • Credit System: Your subscription allocates up to 100 posts and images per profile per month. Trial accounts receive 50 posts. Unused credits do not roll over to the next month and expire at the end of the billing cycle.

5. Cancellation Policy

You may cancel your subscription at any time directly from your account settings or by contacting support.

  • Effect of Cancellation: Cancellations prevent future charges. You will retain access to your account and remaining credits until the end of your current paid billing period.
  • No Partial Refunds: We do not offer prorated refunds for cancellations made partway through a billing cycle.

6. Refund Policy

We want you to be satisfied with Agella. We offer refunds under the following conditions:

  • 7-Day Satisfaction Guarantee: If you are not satisfied with the Service, you may request a full refund within 7 days of your first paid subscription charge (not including the free trial period).
  • After the 7-day window: Payments are non-refundable. Because Agella provides immediate access to proprietary AI tools and incurs hard costs for every generation (GPU and API usage), we cannot offer refunds for:
    • Change of mind after the 7-day window.
    • Unused credits or inactivity.
    • Failure to cancel before the renewal date.
    • Dissatisfaction with specific AI outputs (see Section 7).

To request a refund within the 7-day window, email ben@benjaminhead.com with your account email and reason for the refund request.

7. AI Disclaimer & Output Accuracy

Agella utilizes third-party artificial intelligence models (including Google Gemini and Imagen) to generate content.

  • Accuracy: AI may occasionally produce incorrect, offensive, or biased information ("hallucinations"). You acknowledge that Agella is a drafting tool and that you, the user, are responsible for reviewing and verifying all content before publishing.
  • No Guarantees: We do not guarantee that AI-generated content will achieve specific market results, engagement metrics, or viral status.

8. Intellectual Property & Rights

  • Your Content: You retain ownership of the inputs you provide and the final outputs (text and images) generated by the Service to the extent permitted by law. You are free to use generated content for commercial purposes.
  • Service Rights: You may not resell, reverse engineer, or scrape the Agella platform itself.

9. Disputes & Chargebacks

Filing a payment dispute or chargeback without first contacting support to resolve the issue is a violation of these Terms.

  • Consequences: In the event of a dispute, we reserve the right to immediately suspend your account and revoke access to all generated data.
  • Evidence: We submit logs of your account usage, login history, and content generation as evidence of fulfillment to payment processors.

10. Modifications

We may update these Terms periodically to reflect changes in our service or laws. Continued use of the service after changes constitutes your acceptance.
