Terms of service

Effective 22 October 2026.

These terms are an agreement between you and Ben Head, an individual in Wisconsin, United States, doing business as Agella. There is no company behind Agella today. In these terms, "Agella", "we" and "us" mean Ben Head, and "you" means the person or organisation using the service.

By creating an account or using Agella, you agree to these terms and to the privacy policy. If you do not agree, do not use the service.

What Agella is

Agella is a web application that builds a working model of how one person thinks, from their calls, their documents and their writing, and drafts in their voice. Follow-up emails, memos, briefs before a call, LinkedIn posts and other writing. It is delivered entirely through a browser. There is nothing to install and nothing is shipped.

Agella drafts. You decide. Nothing Agella produces reaches anyone until you send it or publish it yourself.

Who can use it

You must be at least 18. If you are agreeing on behalf of an organisation, you confirm you are allowed to bind that organisation to these terms.

The plan

Agella is not selling subscriptions right now. New accounts are free pilot accounts, described under Free pilot accounts below. If subscriptions start, there will be one plan and one price, shown before checkout.
It includes three profiles.
There is no monthly limit on how many drafts or images you can make. There is no credit system.
There are usage limits per day on individual features. They exist to stop runaway cost and abuse, not to meter what you have bought, and an ordinary working day does not reach them.
There is no annual plan.

Trial and billing

New accounts get 14 days free.
A payment method is required to start the trial. It is not charged during the trial.
When the trial ends, the subscription starts and the card is charged the monthly price shown at checkout, then charged again each month on the same date.
You can cancel before the trial ends and you will not be charged.
If a payment fails, you keep full access for three days while you fix it. After that the account becomes read only: everything you have made stays visible and nothing new can be generated until payment succeeds.

Free pilot accounts

Some accounts are free pilot accounts. Ben Head grants them by adding the person’s email address. Anyone can apply on the Agella website. Applying does not create a pilot account, and not every application is accepted.

A pilot account has full access, needs no card and is never charged. If the account already had a trial or a subscription, it is cancelled when the account becomes a pilot, so nothing more is charged.
A pilot account is never deleted for not paying. The thirty day deletion under Cancelling does not apply to it.
A pilot account can be ended at any time. When it ends, the account becomes read only: everything you have made stays visible and nothing new can be generated until a subscription starts. Ending a pilot deletes nothing.
The sections on the plan, trial and billing, refunds and payment disputes apply only once you pay. Everything else in these terms applies to pilot accounts too.

Cancelling

You can cancel at any time from your settings, through the billing portal. Cancelling stops future charges. You keep access until the end of the period you have already paid for.

Thirty days after your subscription ends, your profiles and everything in them are permanently deleted. This is automatic and cannot be undone. If you might come back, save what you want to keep before those thirty days are up.

Refunds

If you are not satisfied, email ben@benjaminhead.com within 30 days of your first paid charge and you will get that charge refunded in full.

After that window, payments are not refunded, including for months in which you did not use the service and for a renewal you meant to cancel. Cancel before the renewal date to avoid the next charge.

Agella never connects to your LinkedIn account. It has no access to your credentials, it does not use LinkedIn’s API, it does not automate your browser, and it does not post, comment, connect or message on your behalf. Everything Agella produces is copied and published by you, by hand. If you add your LinkedIn data export, you download it from LinkedIn yourself.

Your use of LinkedIn is between you and LinkedIn, and you are responsible for following their terms.

Meeting recording

If you turn on meeting capture, you are responsible for it. Specifically, you confirm that:

you have the right to record each meeting you turn on, under the laws that apply to you and to the other participants
you have obtained whatever consent those laws require
you have the right to put the contents of that meeting into Agella, including anything confidential that belongs to your clients or your employer

Agella makes the bot join as a visible, named participant and asks you before it joins anything. It cannot obtain consent for you and does not attempt to.

You are responsible for any claim arising from a meeting you chose to record.

What you own

You own what you put in. You own what Agella generates for you, to the extent that anything generated by a machine can be owned, and you can use it commercially without restriction.

You give Agella permission to store your material and to send the relevant parts of it to the services listed in the privacy policy, for the purpose of running the product for you. That permission exists so the product can work and for no other purpose. Your material is not used to train any model owned by Agella, because Agella does not own or train a model.

What Agella writes

Agella uses third party AI models to write drafts and to design post images. Those models produce text that is sometimes wrong, sometimes invented, and occasionally inappropriate.

Everything Agella writes is a draft for you to check. You are responsible for reviewing anything you publish, and for its accuracy, for whether it discloses something it should not, and for its effect on your reputation and your relationships.

Agella makes no promise about results. It does not guarantee reach, engagement, clients, or any business outcome.

What you may not do

use Agella for anything unlawful
put in material you do not have the right to use, including confidential information belonging to someone who has not allowed it
use it to impersonate another person, or to produce writing presented as someone else’s
resell access, or make Agella available to people who are not on your account
reverse engineer, scrape, or attempt to extract the prompts or models behind the service
attempt to get around usage limits, billing, or access controls

Availability

Agella is run by one person. There is no uptime guarantee, no service level agreement and no guaranteed support response time. Features can change, and features can be removed. If something substantial is removed, you will be told by email.

Agella depends on third party services. When one of them is down or changes, parts of Agella will not work until it is fixed.

No warranty

Agella is provided as it is, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non infringement. It is not warranted to be uninterrupted, error free, or to produce any particular result.

Limitation of liability

To the maximum extent the law allows, Ben Head is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost business, lost data, or reputational harm, arising out of your use of Agella, whatever the legal theory and even if the possibility was known.

To the maximum extent the law allows, total liability for any claim relating to Agella is limited to the amount you paid in the twelve months before the claim arose.

Some jurisdictions do not allow these limits, in which case they apply to you only as far as that jurisdiction allows.

Indemnity

You will defend and hold harmless Ben Head against any claim brought by a third party arising from your use of Agella, from the material you put into it, from anything you publish, or from a meeting you chose to record.

Suspension and ending the agreement

An account can be suspended or closed if these terms are broken, if the service is being used in a way that damages it or other users, or if payment fails and is not fixed.

You can stop using Agella whenever you want by cancelling and deleting your data.

Payment disputes

If something is wrong with a charge, email ben@benjaminhead.com first. Almost everything is resolved that way, and the 30 day refund above covers the usual reason.

While a payment dispute is open with your bank or card provider, access to the account can be suspended until it is resolved.

Changes to these terms

These terms will change as the product changes. The effective date at the top says when the current version took effect. If a change materially affects your rights, you will be emailed before it takes effect. Continuing to use Agella after that means you accept the new terms.

Governing law

These terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Wisconsin, and you agree to those courts having jurisdiction over you.
